Assistant Legal Officer

Reports To: Legal Officer              

Principal Duties and Responsibilities:

• Providing legal advice for Group Companies in East Africa.
• Drafting legal documentation such as agreements, contracts, memoranda of understanding and confidentiality agreements.
• Scanning legislative amendments and preparing legal opinions thereon for use of operating companies.
• Conducting comparative legal analysis on a range of issues in a specific area and research for relevant precedents and propose appropriate solutions to emerging operational/business problems.
• Drafting new projects documentation, indemnities, undertakings and agreements of a specific nature.
• Advising on comprehensive security structures and drafting of debenture instruments and charges.
• Provide support through capital raisings including vetting of financial documents for various working capital credit and loan facility; acquisitions and divestments.
• Advising the operating companies on legal and corporate governance issues and any proposed legislative changes.
• Liaising with external Lawyers both locally and abroad in the course of preparing legal documentation of various investment projects.
• Undertake Company Secretarial responsibilities as may be delegated by the Head of Legal and Corporate Affairs from time to time.
• Perform ad hoc assignments as may be requested by the Head of Legal and Corporate Affairs from time to time.
